Terms of Service

1. Definitions

  • “Platform” means the RefStack software and services available at refstack.io
  • “Tenant” means a SaaS company or individual that registers to manage an affiliate program using the Platform
  • “Affiliate” means a person or entity that registers to promote a Tenant’s product via the Platform
  • “Services” means click tracking, conversion attribution, commission calculation, and all related features provided by RefStack

2. Acceptance of Terms

By registering an account or using the Platform, you agree to these Terms of Service. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these terms.

3. Eligibility

You must be at least 18 years of age to use the Platform. By agreeing to these terms, you represent that you meet this requirement.

4. Tenant Responsibilities

  • Provide accurate conversion data to the Platform. Tenants are responsible for the accuracy of revenue figures reported via the conversion tracking API.
  • Pay affiliates for approved commissions according to the terms agreed with each affiliate. RefStack facilitates tracking and reporting; it is not a party to the payment relationship between Tenants and Affiliates.
  • Configure CORS domains accurately to prevent unauthorized tracking snippet usage.
  • Keep API keys and API secrets confidential. Do not share them publicly or commit them to version control.
  • Comply with applicable laws when operating an affiliate program, including advertising disclosure requirements (e.g., FTC guidelines).

5. Affiliate Responsibilities

  • Promote Tenant products honestly and in compliance with applicable advertising disclosure laws.
  • Do not engage in self-referral, click fraud, coupon misuse, or any artificial inflation of clicks or conversions.
  • Do not use spam, unsolicited messages, or deceptive marketing practices to drive traffic.

6. Prohibited Uses

You may not use the Platform to:

  • Generate fraudulent conversions or artificially inflate commission balances
  • Circumvent rate limits, security controls, or access controls
  • Reverse-engineer, decompile, or copy the Platform
  • Interfere with the availability or integrity of the Platform
  • Use the Platform in violation of any applicable law

7. Commission Disclaimer

RefStack tracks and reports commissions based on the conversion data it receives. RefStack makes no guarantee as to the accuracy of data provided by Tenants and is not responsible for disputes between Tenants and Affiliates regarding commissions, payouts, or attribution. All payout disputes are solely between the Tenant and the Affiliate.

8. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by law, RefStack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Platform. Our total liability for any claim arising from these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

Either party may terminate an account at any time. RefStack reserves the right to suspend or terminate accounts that violate these terms, engage in fraud, or pose a risk to the Platform or other users. Upon termination, your right to access the Platform ceases immediately.

11. Changes to These Terms

We may update these Terms of Service at any time. Material changes will be communicated by updating the effective date and notifying registered users where reasonable. Continued use of the Platform after changes constitutes acceptance of the updated terms.

12. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of courts located in Delaware.
